By creating an account or using any of the services provided by TabEdge ("TabEdge," "we," "us," or "our"), including our website, APIs, and applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

TabEdge provides a comprehensive suite of tools to facilitate global payments and financial management. Our services include, but are not limited to:

• Invoicing & Payment Links: Create and send professional invoices and shareable payment links to collect funds from clients worldwide.
• Hosted Checkout: A secure, white-label checkout page for your customers to make payments via various methods, including credit/debit cards and other digital payment options.
• Wallet System: A digital wallet to receive, hold, and track your funds with clear distinctions between total, pending, and available balances.
• Withdrawals: Functionality to withdraw your available funds to your local bank accounts or other supported payout methods.

To use our Services, you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated. You are responsible for safeguarding your account password and for all activities that occur under your account.

You agree to use our Services in compliance with all applicable laws and regulations. You are solely responsible for:

• Ensuring the accuracy of all information you provide, including recipient details for invoices and your own bank account information for withdrawals.
• The products, services, or content you sell or promote using TabEdge.
• Fulfilling your obligations to your customers, including the delivery of goods or services.
• Complying with all applicable tax laws and reporting requirements related to your use of the Services.

You agree to pay the applicable fees for using our Services. Our fees consist of:

• Platform Fee: A percentage-based fee applied to each successful transaction processed through TabEdge.
• Payment Method Fees: Additional fees charged by third-party payment processors (e.g., for card processing). These fees are separate from our platform fee.

All applicable fees will be clearly displayed to you before you confirm a transaction or will be deducted from the total transaction amount. You are responsible for any chargebacks, disputes, or reversals associated with your account.

Funds received from payments are credited to your TabEdge Wallet. Your balance is categorized as follows:

• Pending Balance: Funds from recent transactions that are being cleared by our payment partners. These funds are not yet available for withdrawal.
• Available Balance: Cleared funds that you can withdraw to your designated bank account or use for other services.

Settlement times vary depending on the payment method and risk factors. We provide estimated availability dates but cannot guarantee them. Withdrawals are processed to the bank account you have linked and are subject to minimum and maximum limits, as detailed on our platform.

You may not use our Services for any fraudulent, abusive, or illegal activities. This includes, but is not limited to, activities related to illegal products or services, money laundering, financing of terrorism, or any activity that infringes on the intellectual property rights of others. We reserve the right to suspend or terminate your account if we suspect any prohibited use.

The TabEdge Services, including our website, logo, and software, are the exclusive property of TabEdge and its licensors. Our services are protected by copyright, trademark, and other laws. You may not use our branding or intellectual property without our prior written consent.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the operation or availability of the Services, and we disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or free from errors.

To the maximum extent permitted by law, TabEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our Services.

We may terminate or suspend your account at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting our support team.

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our website or by sending you an email. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services will be resolved in the courts of Bangladesh.
